Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Inteliny Global Technology Solutions Inc. ("Inteliny," "we," "our," or "us") governing your access to and use of our website, products, and services. By accessing or using any part of our services, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you do not agree to these Terms, you may not access or use our services.

Description of Services

• Website and App Development: Custom digital product design, development, and deployment services.
• Digital Marketing: SEO, SEM, content marketing, social media management, and performance advertising services.
• AI Solutions: Artificial intelligence integration, automation workflows, and machine learning consulting.
• IT Support: Technical support, infrastructure management, cloud services, and cybersecurity consulting.
• Consulting Services: Strategy, architecture planning, and technology advisory services.
• Inteliny reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice.

User Accounts and Registration

• You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately at security@inteliny.com of any unauthorized use of your account or any other security breach.
• Inteliny reserves the right to terminate accounts that violate these Terms or that have been inactive for an extended period.
• You may not create multiple accounts, use someone else's account, or transfer your account to another person without our express written consent.

Acceptable Use Policy

• You agree to use our services only for lawful purposes and in a manner that does not infringe the rights of others.
• You must not use our services to transmit any unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable content.
• You must not attempt to gain unauthorized access to any systems, networks, or data related to our services.
• You must not use automated tools, bots, or scrapers to access our services without prior written permission.
• You must not engage in any activity that disrupts, damages, or impairs the performance of our services or infrastructure.
• You must not use our services to send unsolicited communications (spam) or conduct phishing activities.
• Violation of this Acceptable Use Policy may result in immediate termination of your account and legal action.

Intellectual Property Rights

All content, features, and functionality on Inteliny's platforms — including but not limited to text, graphics, logos, icons, images, audio clips, software, and their arrangement — are the exclusive property of Inteliny or its licensors and are protected by applicable copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our services for your personal or internal business purposes. You may not copy, reproduce, distribute, modify, create derivative works of, or exploit any part of our services without our express prior written consent.

User-Generated Content

• By submitting content to Inteliny (including through contact forms, project briefs, or feedback), you grant us a non-exclusive, worldwide, royalty-free license to use such content solely to provide and improve our services.
• You represent and warrant that you own or have the necessary rights to submit such content and that it does not violate any third-party rights.
• Inteliny does not claim ownership of content you submit, but we may use anonymized, aggregated data to improve our services.
• We reserve the right to remove any content that violates these Terms or that we determine to be harmful, offensive, or otherwise inappropriate.

Payment Terms

• All fees are quoted in United States Dollars (USD) unless otherwise specified in a separate service agreement.
• Payment is due as specified in your service agreement or invoice. Late payments may incur interest at 1.5% per month.
• All fees are non-refundable unless otherwise stated in writing or required by applicable law.
• We reserve the right to suspend or terminate services for non-payment after providing reasonable notice.
• Prices are subject to change with 30 days' written notice. Continued use of services after price changes constitutes acceptance of the new pricing.
• Any disputed charges must be reported within 30 days of the invoice date.

Confidentiality

Both parties may have access to confidential information of the other party. Each party agrees to: (a) keep such information confidential using at least the same degree of care used for its own confidential information (but no less than reasonable care); (b) not disclose such information to any third party without prior written consent; and (c) use such information only for the purposes of performing obligations under these Terms. This obligation does not apply to information that is publicly available, already known to the receiving party, independently developed, or required to be disclosed by law.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. INTELINY DOES NOT WARRANT THAT: (A) THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY TIME; (B) THE RESULTS FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (C) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INTELINY AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES — RESULTING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES. IN NO EVENT SHALL INTELINY'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO INTELINY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Inteliny and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of our services; (c) your User Content; (d) your violation of any third-party right; or (e) your violation of any applicable law or regulation.

Termination

• Either party may terminate the service relationship by providing 30 days' written notice to the other party.
• Inteliny may immediately terminate or suspend your access if you materially breach these Terms.
• Upon termination, your right to use the services will immediately cease.
• Provisions that by their nature should survive termination (including intellectual property, confidentiality, payment obligations, limitation of liability, and dispute resolution) will survive termination.
• Inteliny is not liable for any loss resulting from termination of services due to your violation of these Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. If we make material changes, we will also notify you via email (if you have provided one) at least 14 days before the changes take effect. Your continued use of our services after changes take effect constitutes your acceptance of the revised Terms.
